Service.

Account Registration

To use the Service, you must create an account with a valid email address and secure password, or authenticate via a supported OAuth provider (Google, Microsoft). You must provide accurate and complete information and keep it current.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access.

Organizations & Roles

MindBacklog supports multi-user organizations with role-based access control. Account owners are responsible for managing team access and ensuring all users within their organization comply with these Terms.

Age Requirement

You must be at least 16 years of age to use the Service. MindBacklog is a business product designed for professional use.

Plans & Pricing

MindBacklog offers paid subscription plans as described on our Pricing page. Prices are listed in US Dollars. We reserve the right to change pricing with 30 days' notice — changes will not apply to your current billing cycle.

Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Annual plans are billed as a single payment at the start of each annual period.

Payment Processing

All payments are processed securely through Stripe (via Stripe Managed Payments), our Merchant of Record. We do not store your payment information — it is managed entirely by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel.

Failed Payments

If a payment fails, our payment processor (Stripe) may retry the charge according to their standard dunning schedule. If payment cannot be collected, your subscription will be cancelled. You may resubscribe at any time by starting a new subscription through your account settings.

Refunds

Monthly plans may be cancelled at any time and will remain active until the end of the current billing period. No partial refunds are issued for unused time on monthly plans. New customers on Starter, Growth, or Scale plans are eligible for a full refund within 14 days of their first payment if dissatisfied with the Service.

Upgrades & Downgrades

You may upgrade your plan at any time. Upgrades take effect immediately with prorated billing for the remainder of your current cycle. Downgrades take effect at the end of your current billing period. Feature access adjusts accordingly upon downgrade.

Taxes

Prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes imposed by your jurisdiction. Where required by law, we will add applicable taxes to your invoice.

AI Usage & Fair Use

AI usage varies by plan. The Starter plan includes a fixed monthly allocation of AI credits per user. Growth and Scale plans include unlimited AI usage subject to fair-use terms. Fair-use limits exist in the background to ensure platform stability and prevent abuse. Normal product management usage will not trigger these limits. If your usage significantly exceeds typical patterns, we will contact you before taking any action. We reserve the right to throttle or restrict access in cases of clear abuse.

AI Credit Allocation Changes

The number of AI credits and signal credits included in each plan tier is subject to change at any time, with or without prior notice, at MindBacklog's sole discretion. Credit allocations may be adjusted due to changes in underlying AI model costs, market conditions, infrastructure expenses, or product strategy. Any changes to credit allocations will take effect at the start of your next billing cycle — credits already allocated for your current billing cycle will be honored in full. We will make reasonable efforts to communicate significant changes through email, in-app notifications, or our changelog, but we are not obligated to provide advance notice for credit allocation adjustments. Your continued use of the Service after a credit allocation change constitutes acceptance of the updated allocation.

Your Data

All Customer Data — including product documentation, feedback, features, roadmaps, user stories, and AI-generated content created within your Workspace — belongs to you. We claim no intellectual property rights over your Customer Data.

License to Us

You grant MindBacklog a limited, non-exclusive, worldwide license to use, process, store, and display your Customer Data solely for the purpose of providing and improving the Service to you. This license terminates when you delete your data or your account.

AI-Generated Content

Content generated by the MIND system within your Workspace — including feature descriptions, user stories, acceptance criteria, scoring analyses, and recommendations — is considered your Customer Data and belongs to you. You are responsible for reviewing and validating all AI-generated content before use.

Data Portability

You may export your Customer Data at any time through the Platform's export functionality in standard machine-readable formats (CSV, JSON). Upon account deletion, we will provide a data export upon request within 30 days.

Data Isolation

Your Customer Data is logically isolated from other customers' data. Your product context, feedback, features, and AI-generated content are never accessible to, shared with, or used to benefit other customers.

Nature of AI Services

MindBacklog uses artificial intelligence to provide feedback clustering, feature scoring, content generation, and product intelligence services. AI outputs are recommendations and suggestions — they do not constitute professional advice, financial guidance, or guaranteed outcomes.

Accuracy & Limitations

While we strive for high-quality AI outputs, AI-generated content may contain inaccuracies, incomplete information, or errors. You acknowledge that AI recommendations should be reviewed by qualified personnel before being acted upon. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output.

No AI Training on Customer Data

Your Customer Data is not used to train, fine-tune, or improve AI models for any purpose beyond providing direct service to you. Product context processed by the MIND system is stored within your isolated Workspace and is not used to benefit other customers or general model improvement.

Third-Party AI Providers

We use third-party AI model providers for certain processing tasks. Data sent to these providers is transmitted securely and governed by data processing agreements that prohibit them from using your data for model training or any purpose other than fulfilling our processing requests.

AI Feature Changes

AI capabilities may evolve over time as we improve models, update algorithms, or change providers. We may modify AI features to improve quality, accuracy, or efficiency. Significant changes to AI functionality will be communicated through our changelog and notification channels.

Beta Features

MindBacklog may offer beta, preview, or early access features that are still under development. These features are identified as "Beta" or "Early Access" within the Platform and are provided "as is" without warranty of any kind.

Limitations

Beta features may contain bugs, may be incomplete, and may change significantly or be discontinued without notice. Beta features are not covered by SLA commitments and may have different performance characteristics than generally available features.

Feedback

By using beta features, you agree that we may use your feedback and usage patterns to improve the feature before general release. This does not extend to your Customer Data, which remains governed by the data ownership terms above.

API Access

MindBacklog provides APIs for integrations, the feedback widget, and the identify endpoint. API access is subject to these Terms and any additional API-specific documentation we provide.

Authentication & Rate Limits

All API requests must be authenticated using valid API tokens or OAuth credentials. API endpoints are subject to rate limits to ensure platform stability. Exceeding rate limits may result in temporary throttling. Current rate limits are published in our API documentation.

Prohibited API Uses

You may not use the API to build a competing product, reverse-engineer platform functionality, scrape or bulk-export data beyond the provided export tools, or circumvent access controls. Automated abuse of API endpoints may result in token revocation and account suspension.

Our Property

The MindBacklog platform, including its software, design, branding, documentation, algorithms, AI models (excluding Customer Data), and underlying technology, is owned by Aureliq Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Feedback to Us

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, non-exclusive, royalty-free license to use that Feedback to improve the Service without obligation to you. This does not apply to your Customer Data.

Trademarks

The MindBacklog name, logo, "Silence the Noise" tagline, and associated branding are trademarks of Aureliq Inc. You may not use our trademarks without prior written consent, except to accurately refer to MindBacklog in non-commercial contexts.

Protected Marks

The following names, marks, and elements (collectively, the "Marks") are claimed as common law trademarks of Aureliq Inc., doing business as MindBacklog, and are protected through continuous use in commerce:

• → MindBacklog™ — the platform and product brand name
• → Ask MIND™ — the AI product intelligence chatbot
• → Silence the Noise™ — the brand tagline
• → The MindBacklog logo and associated visual branding elements

Common Law Trademark Rights

Aureliq Inc. asserts common law trademark rights in the Marks listed above through first and continuous use in commerce. These rights are recognized and enforceable in jurisdictions that uphold common law trademark protections, including but not limited to:

• → United States — common law rights under the Lanham Act and state law, established through use in interstate and international commerce
• → Canada — common law and statutory rights under the Trademarks Act (R.S.C., 1985, c. T-13), established through use and reputation in the Canadian market
• → United Kingdom — protection under the common law tort of "passing off," which prevents misrepresentation of a business's goodwill
• → Australia — common law rights through the tort of passing off and the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010)
• → New Zealand — common law protection through passing off and the Fair Trading Act 1986
• → India — common law trademark rights recognized through prior use, alongside statutory protections under the Trade Marks Act, 1999

The use of the ™ symbol indicates an assertion of common law trademark rights. It does not imply federal or national registration. Federal registration (indicated by the ® symbol) may be pursued in one or more jurisdictions in the future.

Prohibited Uses

Without prior written consent from MindBacklog, you may not:

• ✗ Use MindBacklog's Marks, or any confusingly similar variations, as part of your own product names, service names, company names, or branding
• ✗ Register domain names, social media handles, or app store listings that incorporate or are confusingly similar to MindBacklog's Marks
• ✗ Use MindBacklog's Marks in advertising, meta tags, SEO keywords, or paid search campaigns in a manner that implies affiliation, endorsement, or sponsorship
• ✗ Modify, distort, or alter MindBacklog's Marks, logo, or visual branding in any way
• ✗ Use MindBacklog's Marks in any manner that is likely to cause confusion, deception, or mistake as to the source, sponsorship, or affiliation of goods or services

Permitted Uses

You may refer to MindBacklog by name in non-commercial contexts such as reviews, articles, academic references, and factual product comparisons, provided such use does not imply endorsement, sponsorship, or affiliation. When referencing MindBacklog, the ™ symbol should be used on first mention where practical.

Reporting Trademark Concerns

If you become aware of any unauthorized use of MindBacklog's Marks, or if you believe your own trademark rights are being affected, please contact us at [email protected].

Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until the end of that period.

Termination by Us

We may suspend or terminate your account if you materially breach these Terms, engage in abusive or fraudulent behavior, or use the Service in ways that threaten platform stability or other customers' experience. Subscriptions with failed payments will be cancelled by our payment processor. We will provide reasonable notice before termination except in cases of severe abuse or legal obligation.

Effect of Termination

Upon termination or cancellation, your access to the Service ends. Your Workspace data is retained for 30 days in case of reactivation, then permanently deleted. You may request a data export during this retention period. Sections of these Terms that by their nature should survive termination (including data ownership, limitation of liability, indemnification, and dispute resolution) will survive.

Exclusive Remedy

If you are dissatisfied with any aspect of the Service, your sole and exclusive remedy is to discontinue use of the Service and request a prorated refund or service credit for the unused portion of your current billing cycle. This exclusive remedy applies to all claims related to service quality, AI output accuracy, feature availability, data processing, and credit allocation. You acknowledge that this remedy is adequate and that no other damages — monetary or otherwise — are available for service-related dissatisfaction.

Excluded Damages

In no event shall MindBacklog, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, loss of goodwill, cost of procurement of substitute services, or damages arising from decisions made based on AI-generated content, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.

AI-Specific Liability Exclusions

You expressly acknowledge that AI-generated content (including PRDs, user stories, feature descriptions, priority scores, estimations, and chat recommendations) is provided as a productivity aid and does not constitute professional advice. MindBacklog accepts no liability for business decisions, product outcomes, missed opportunities, or financial losses arising from reliance on AI-generated outputs. You are solely responsible for reviewing, validating, and approving all AI-generated content before use.

Claim Deadline

Any claim arising from or related to these Terms or your use of the Service must be filed within twelve (12) months of the event giving rise to the claim. Claims filed after this period are permanently barred.

Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the jurisdiction where MindBacklog is headquartered, unless the parties mutually agree to a different location or virtual proceedings.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against MindBacklog.

Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Aureliq Inc. is incorporated, without regard to conflict of law principles.

Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and MindBacklog regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by MindBacklog to be effective.

Assignment

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure

MindBacklog shall not be liable for any failure or delay in performing obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, third-party service failures, or pandemic-related disruptions.
