These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and MindBacklog ("we," "us," "our," or "Company") governing your access to and use of the MindBacklog platform, website at mindbacklog.com, and all related services (collectively, the "Service").
By creating an account, subscribing to a plan, or otherwise accessing the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.

To use the Service, you must create an account with a valid email address and secure password, or authenticate via a supported OAuth provider (Google, Microsoft). You must provide accurate and complete information and keep it current.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@mindbacklog.com if you suspect unauthorized access.
MindBacklog supports multi-user organizations with role-based access control. Account owners are responsible for managing team access and ensuring all users within their organization comply with these Terms.
You must be at least 16 years of age to use the Service. MindBacklog is a business product designed for professional use.
MindBacklog offers paid subscription plans as described on our Pricing page. Prices are listed in US Dollars. We reserve the right to change pricing with 30 days' notice — changes will not apply to your current billing cycle.
Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Annual plans are billed as a single payment at the start of each annual period.
All payments are processed securely through Paddle, our Merchant of Record. We do not store your payment information — it is managed entirely by Paddle. By subscribing, you authorize Paddle to charge your payment method on a recurring basis until you cancel.
If a payment fails, our payment processor (Paddle) may retry the charge according to their standard dunning schedule. If payment cannot be collected, your subscription will be cancelled. You may resubscribe at any time by starting a new subscription through your account settings.
Monthly plans may be cancelled at any time and will remain active until the end of the current billing period. No partial refunds are issued for unused time on monthly plans. New customers on Starter, Growth, or Scale plans are eligible for a full refund within 14 days of their first payment if dissatisfied with the Service.
You may upgrade your plan at any time. Upgrades take effect immediately with prorated billing for the remainder of your current cycle. Downgrades take effect at the end of your current billing period. Feature access adjusts accordingly upon downgrade.
Prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes imposed by your jurisdiction. Where required by law, we will add applicable taxes to your invoice.
The Founding Member program is limited in seats and includes special pricing and benefits not available to standard subscribers.
Founding Members receive a locked subscription rate that will not increase for the duration of their active subscription. This price lock applies only while your Founding Member subscription remains active. If you cancel your subscription, the founding rate is forfeited and cannot be reclaimed upon resubscription.
Founding Members receive a discounted rate on their selected plan, plus direct Slack access with the founder, priority feature requests, early access to new features, and a Founding Member badge. These benefits may evolve over time, but active Founding Members' discount will never be reduced during their active subscription.
Founding Member status is tied to the individual account holder and is non-transferable. It cannot be sold, assigned, or given to another user or organization.
Once all Founding Member spots are filled, the program closes permanently. No additional Founding Member accounts will be created. Existing Founding Members retain their status and benefits for as long as their subscription remains active and in good standing.
You agree to use the Service only for its intended purpose: product management, feedback analysis, feature prioritization, and roadmap planning. You may not:
AI usage varies by plan. The Starter plan includes a fixed monthly allocation of AI credits per user. Growth and Scale plans include unlimited AI usage subject to fair-use terms. Fair-use limits exist in the background to ensure platform stability and prevent abuse. Normal product management usage will not trigger these limits. If your usage significantly exceeds typical patterns, we will contact you before taking any action. We reserve the right to throttle or restrict access in cases of clear abuse.
You own your data. MindBacklog does not claim ownership of any Customer Data you upload, create, or generate within the Platform.
All Customer Data — including product documentation, feedback, features, roadmaps, user stories, and AI-generated content created within your Workspace — belongs to you. We claim no intellectual property rights over your Customer Data.
You grant MindBacklog a limited, non-exclusive, worldwide license to use, process, store, and display your Customer Data solely for the purpose of providing and improving the Service to you. This license terminates when you delete your data or your account.
Content generated by the MIND system within your Workspace — including feature descriptions, user stories, acceptance criteria, scoring analyses, and recommendations — is considered your Customer Data and belongs to you. You are responsible for reviewing and validating all AI-generated content before use.
You may export your Customer Data at any time through the Platform's export functionality in standard machine-readable formats (CSV, JSON). Upon account deletion, we will provide a data export upon request within 30 days.
Your Customer Data is logically isolated from other customers' data. Your product context, feedback, features, and AI-generated content are never accessible to, shared with, or used to benefit other customers.
MindBacklog uses artificial intelligence to provide feedback clustering, feature scoring, content generation, and product intelligence services. AI outputs are recommendations and suggestions — they do not constitute professional advice, financial guidance, or guaranteed outcomes.
While we strive for high-quality AI outputs, AI-generated content may contain inaccuracies, incomplete information, or errors. You acknowledge that AI recommendations should be reviewed by qualified personnel before being acted upon. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output.
Your Customer Data is not used to train, fine-tune, or improve AI models for any purpose beyond providing direct service to you. Product context processed by the MIND system is stored within your isolated Workspace and is not used to benefit other customers or general model improvement.
We use third-party AI model providers for certain processing tasks. Data sent to these providers is transmitted securely and governed by data processing agreements that prohibit them from using your data for model training or any purpose other than fulfilling our processing requests.
AI capabilities may evolve over time as we improve models, update algorithms, or change providers. We may modify AI features to improve quality, accuracy, or efficiency. Significant changes to AI functionality will be communicated through our changelog and notification channels.
MindBacklog may offer beta, preview, or early access features that are still under development. These features are identified as "Beta" or "Early Access" within the Platform and are provided "as is" without warranty of any kind.
Beta features may contain bugs, may be incomplete, and may change significantly or be discontinued without notice. Beta features are not covered by SLA commitments and may have different performance characteristics than generally available features.
By using beta features, you agree that we may use your feedback and usage patterns to improve the feature before general release. This does not extend to your Customer Data, which remains governed by the data ownership terms above.
MindBacklog connects to third-party services for data ingestion, project sync, and platform operation:
Feedback channels: Apple App Store reviews, Google Play Store reviews, email (IMAP), web forms, customer portal, embeddable feedback widget, and web scraper.
Project sync: Jira and Azure DevOps (two-way sync for features, stories, and estimates).
Authentication: Google OAuth 2.0 and Microsoft OAuth 2.0.
Coming soon: Reddit, Slack, Zapier, Intercom, Zendesk, Linear, and Notion.
MindBacklog provides APIs for integrations, the feedback widget, and the identify endpoint. API access is subject to these Terms and any additional API-specific documentation we provide.
All API requests must be authenticated using valid API tokens or OAuth credentials. API endpoints are subject to rate limits to ensure platform stability. Exceeding rate limits may result in temporary throttling. Current rate limits are published in our API documentation.
You may not use the API to build a competing product, reverse-engineer platform functionality, scrape or bulk-export data beyond the provided export tools, or circumvent access controls. Automated abuse of API endpoints may result in token revocation and account suspension.
The MindBacklog platform, including its software, design, branding, documentation, algorithms, AI models (excluding Customer Data), and underlying technology, is owned by MindBacklog and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, non-exclusive, royalty-free license to use that Feedback to improve the Service without obligation to you. This does not apply to your Customer Data.
The MindBacklog name, logo, "Silence the Noise" tagline, and associated branding are trademarks of MindBacklog. You may not use our trademarks without prior written consent, except to accurately refer to MindBacklog in non-commercial contexts.
We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. The Service may experience downtime due to maintenance, upgrades, third-party service disruptions, or unforeseen technical issues.
We will make commercially reasonable efforts to provide advance notice of planned maintenance. Unplanned outages will be communicated through our status page and email notifications.
We are not liable for any damages resulting from service interruptions, data delays, or temporary unavailability of features.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until the end of that period.
We may suspend or terminate your account if you materially breach these Terms, engage in abusive or fraudulent behavior, or use the Service in ways that threaten platform stability or other customers' experience. Subscriptions with failed payments will be cancelled by our payment processor. We will provide reasonable notice before termination except in cases of severe abuse or legal obligation.
Upon termination or cancellation, your access to the Service ends. Your Workspace data is retained for 30 days in case of reactivation, then permanently deleted. You may request a data export during this retention period. Sections of these Terms that by their nature should survive termination (including data ownership, limitation of liability, indemnification, and dispute resolution) will survive.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
To the fullest extent permitted by law, we disclaim all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, we do not warrant that:
You acknowledge that product management decisions involve inherent risk and that MindBacklog is a tool to assist — not replace — professional judgment.
To the maximum extent permitted by applicable law, MindBacklog's total aggregate liability to you for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid to MindBacklog in the twelve (12) months preceding the claim.
In no event shall MindBacklog, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.
This limitation applies to all causes of action in the aggregate, including breach of contract, breach of warranty, negligence, strict liability, and other torts.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless MindBacklog and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
Before initiating any formal dispute resolution, you agree to contact us at legal@mindbacklog.com and attempt to resolve the dispute informally for at least 30 days.
Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the jurisdiction where MindBacklog is headquartered, unless the parties mutually agree to a different location or virtual proceedings.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against MindBacklog.
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect, and update the "Last Updated" date at the top of this page.
Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the changes take effect.
Non-material changes (such as formatting corrections or clarifications that do not alter meaning) may be made without advance notice.
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which MindBacklog is incorporated, without regard to conflict of law principles.
These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and MindBacklog regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by MindBacklog to be effective.
You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
MindBacklog shall not be liable for any failure or delay in performing obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, third-party service failures, or pandemic-related disruptions.
